Capitalized terms used herein but nat defined herein shall have the meanings given to such terms in the Lease. 2. Permit Filing Date. In the event of any conflict between tha terms and conditions of this Agreement and the Lease, this Agreement shall control. Landlord may, at its discretion, manage and direct the provision of certain utilities by doing one or any combination of the following, provided that the cost thereof to Tenant is generally competitive in the vicinity of the Shopping Center: (i) Landlord may designate cerlain service providers) to provide certain utilities with respect to the Premises and require Tenant, at Tenant's expense, to contract directly with such service providers), (i) Landlord may engage or contract directly with certain service provider(s) to provide certain utilities with respect to the Premises (i.e., without requiring Tenant to contract directly with such service provider(s)), and/or (i) Landlord may directly provide certain utilities to the Shopping Center or portions thereof. Any amount so paid by Landlord and all costs and expenses, including reasonable attorneys' fees and court costs, incurred by Landlord in connection therewith, including interest at the Default Rate, shall constitute Additional Rent and shall be paid by Tenant to Landlord on demand. ARTICLE 16. SIGNAGE Tenant shall at its own expense erect an exterior sign and/or window sign (the "Exterior Storefront Signs") in such locations and such size designated by Landlord, which Exterior Storefront Signs shail: (i) conform to the general material, size and appearance of other tenants' signs at the Shopping Center, (ii) be in conformity with any guidelines or sign criteria adopted by Landlord with respect to the Shopping Center, including, without limitation, the sign criteria set forth in Exhibit "C-1" attached hereto and made a part hereof, as the same may be modified from time to time, (iii) be in accordance with all applicable laws, (iv) be installed by a contractor or other party which meets with Landlord's prior reasonable approval, and (v) be otherwise subject to Landlord's prior reasonable written approval. If at any time after the first five years of the Term, Landlord determines to replace the sign above the exterior of the Premises in connection with a generel renovation of the Shopping Center or otherwise, then Tenant shall pay (or reimburse to Landlord, as the case may be) the cost of replacing such sign. Notwithstanding the foregoing, in the event Landlord modifies its sign criteria during the first five (5) Lease Years of the initial Term and requires Tenant to replace its sign pursuant to this Article 16 (provided such change would not otherwise be required by Laws), Landlord shall replace Tenant's approved signage at Landlord's sole cost and expense. Notwithstanding anything to the contrary herein, after the Delivery Date, Tenant shall be permitted, subject to all applicable codes, laws, regulations and other governmental requirements, and further subject to Landlord's reasonable prior written approval with respect to the design, location, content, and method of installation, to furnish and. install, at Tenant's sole cost and expense, one (1) professionally made temporary window graphic, announcing Tenant's "Grand Opening" and/or that Tenant is "Coming Soon", on the storefront of the Premises, provided that the period during which Tenant's temporary banner is installed on the storefront of the Premises shall not exceed the maximum period permitted by applicable codes, laws and regulations. Landlord, by execution of this Lease, approves Tenant's prototypical and conceptual signage as shown on Exhibit C-3 attached hereto ("Tenant's Conceptual Signage"), provided same complies with all applicable laws, codes and regulations.
