MODIFICATION TO LEASE AGREEMENT
of
2022, by and between
FEb&RIGATION TO L ABE AGREEMENT (this "Agreement) is made as of this. 17 day
ASSOCIATION, a national banking association organized under the laws of the United States d/b/a JP
Morgan Chase Bank NA. (herein called "Tenant"), and HARVARD COLLECTION LLC, a Delaware limiled
liability company (herein called "Landlord").
RECITALS
WHEREAS, Landlord and Tenant are the current parties to that certain Shopping Center Lease
dated June 23, 2021 ("Original.Lease"), which Original Lease document has since been amended, modified
or assigned, as applicable, by the following documents: Letter Agreement dated August 24, 2021 ("Letter
Agreement") (collectively, the "Lease") covering cerain premises currently known as unif or space number
120, 150B& 155 and containing approximately 5,123 square feet as more particularly described in the
Lease, as affected hereby, and referred to in this Agreement as the "Premises") in the shopping center
currenlly known as The Abbot located in Cambridge, Massachusetts (as more parlicularly described in the
Lease, as affected hereby, and referred to in this Agreement as the "Shopping Center").
NOW, THEREFORE, In exchange for the mutual covenants and promises contained herein and for
other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties
hereto agree as follows:
1.
Recitals: Delined Terms.
The above Recitals are hereby confirmed as true and correct and are
reaffirmed herein. Capitalized terms used herein but nat defined herein shall have the meanings given to
such terms in the Lease.
2.
Permit Filing Date. Notwithsfanding anything to the contrary contained In the Lease, including, but
not limited fo Section 2.6 thereln, the "Permit Filing Date" is deemed to be August 23, 2021.
3.
Permit Perlod. Notwithstanding anything to the contrary contained in the Lease, Including, but not
limited to Section 2.6 of the therein, the "Permit Period" commenced on August 23, 2021 and shall expire
on the date that is two hundred seventy (270) days thereafter, which date is May 20, 2022..
4.
Delivery, Notwithstanding anything conteined in the Lease to the contrary, including, but not limited
the
therein,
to Section 2.3(e) contained
"Abatement Date"
shall mean April 1, 2022.
Further,
notwithstanding anything to the contrary contained in the Lease, including, but not limited to Section 2.3(f)
contained therein, the "Outside Date" shall mean October 1, 2022.
5.
Miscellaneous.
The partles hereto hereby acknowledge that the Lease as affected by this
Agreement Is in full force and effect and, as hereby effected, is ratified and confirmed. By entering into this
Agreement, Landlord in no way waives any rights and remedies avallable to it with respect to any existing
or future defaults under the Lease, all of which rights and remedles Landlord hereby specifically reserves.
Landlord shall have the discretion to direct how payments. under the Lease (as affecled hereby) are applied
to any then due amounts on the account for the Premises. In the event of any conflict between tha terms
and conditions of this Agreement and the Lease, this Agreement shall control.
This Agreement shall be
effective only when it is signed by all parties hereto. A party's submission of a signed Agreement for review
by Landlord does not give any such parly any interest, right or option.
6.
Authority. Each individual executing this Agreement on behalf of a corporation, limited liability
company, partnership or other business entity represents that he or she Is duly authorized to execute and
deliver this Agreement on behelf of such entity and agrees to deliver evidence of his or her authority to
Landlord promplly upon request.
7.
Counterparts.
This Agreement may be executed in any number of counterparts, each of which
shall be deemed an original and all of which together constitute a fully executed agreement. even though
all signetories do not appear on the same document. Delivery of an executed counterpart of this Agreemen
by facsimile or as an attachment to an email shall be equally effective as delivery of a mutually executes
counterpart of this Agreement.
This Agreement may ba signed electronically, Facsimila or e-mall
transmittal of original handwritten signatures and electronic signatures shall all be considered to have the
same legal effect as execution and delivery of the original printed document with handwritten signatures
and shall be treated in all manner and respects as the original printed document with handwritten
signatures.

question would not provide reimbursement to Tenant for rent payments during this period, then Minimum
Rent shall abate commencing after such three (3) consecutive business day period and until the earlier of
the date on which such utility service is restored, or the date on which Tenant reopens for business.
Landlord may, at its discretion, manage and direct the provision of certain utilities by doing one or any
combination of the following, provided that the cost thereof to Tenant is generally competitive in the vicinity
of the Shopping Center: (i) Landlord may designate cerlain service providers) to provide certain utilities
with respect to the Premises and require Tenant, at Tenant's expense, to contract directly with such service
providers), (i) Landlord may engage or contract directly with certain service provider(s) to provide certain
utilities with respect to the Premises (i.e., without requiring Tenant to contract directly with such service
provider(s)), and/or (i) Landlord may directly provide certain utilities to the Shopping Center or portions
thereof. With respect to (i) above, Tenant will furnish to Landlord a copy of such contracts) prior to opening
for business at the Premises (and a copy of each renewal of such contracts) prior to the expiration of the
existing contracts)). Tenant shall pay the cost of utilities to (a) such service provider(s) with respect to (i)
above, and (b) Landlord with respect to (i) and (iii) above. Tenant's failure to timely pay the cost of utilities,
whether pursuant to (a) or (b), shall be deemed an Event of Default under this Lease. Depending, as
applicable, on the terms and conditions of the applicable contracts) with respect to (i) above or at Landlord's
discretion with respect to (i) and (i) above,
Tenant shall pay the cost of utilities based on one or any
combination of the following: (1) Tenant's Proportionate Share as part of Common Area Costs or otherwise,
(2) an equitable proration in relation to Tenant's specific use of the Premises including consideration of any
excessive usage by Tenant (e.g., a restaurant's share of water and tresh costs would equitably be higher
than a bank's share of water and trash costs), or (3) the separate meter or submeter reading for the
Premises, if applicable. Without limiting consideration of any excessive usage by Tenant described in (2)
above, if at any time it is reasonably determined that Tenant's usage of the existing trash and recycling
collection and removal system (including the use of dumpsters and bins) is excessive, then Tenant shall
pay to such service providers) or to Landlord, as applicable, all costs incurred with respect to such
excessive usage including, without limitation, the cost to provide additional dumpsters or bins or increase
trash or recycling removal trips to satisfy Tenant's trash and recycling collection and removal needs.
If any governmental authority currently or hereafter imposes any building energy reporting requirements
(such as, without limitation, with respect to energy and water usage, greenhouse gas emissions or Energy
Star® ratings) with respect to the Shopping Center or any portion thereof (such laws including similar
legislation and/or codes, as amended or supplemented from time to time, are collectively referred to herein
as the "Program"), then Tenant agrees to reasonably cooperate with Landlord to ensure compliance with
the Program including, without limitation, Tenant providing information to facilitate compliance (such as
Tenant agrees to provide such
information regarding utility providers and accounts for the Premises).

within sixty (60) days following request and authorizes the delivery of any information required under such
energy reporting requirements to Landlord, its designated agents, or the applicable governmental agency
or utility providers, and the disclosure of such information, as required under the Program. Landlord's right
of entry set forth in this Lease shall extend to any entry onto the Premises to comply with the Program,
subject to any terms and conditions relating to notice and the like set forth in such right of entry provision.
Landlord may include the reasonable cost of compliance with the Program (such as, without limitation,
: installation of meters, retaining of consultants and filing of necessary documents) in Common Area Costs.
ARTICLE 15. LIENS
Landlord's property shall not be subject to liens for work done or materials used on the Premises made at
the request of, or on order of or to discharge an obligation of, Tenant. This Article shall be construed so as
to prohibit, in accordance with the provisions of the laws of the state in which the Premises is located, the
interest of Landlord in the Premises or any part thereof from being subject to any lien for any improvements
made by Tenant or any third party on Tenant's behalf (except Landlord) to the Premises.
If any lien or
notice of lien on account of an alleged debt of Tenant or any notice of lien by a parly engaged by Tenant or
Tenant's contractor or materialmen to work on the Premises shall be filed against the Shopping Center or
any part thereof, Tenant, within ten (10) days after receiving notice of the filing thereof, will cause the same
to be discharged of record by payment, deposit, bond, order of a court of competent jurisdiction or

otherwise.
within the period aforesaid, then, in addition to any other right or remedy, Landlord may discharge the same
either by paying the amounts claimed to be due or by procuring the discharge of such lien by deposit or by
bonding procedures. Any amount so paid by Landlord and all costs and expenses, including reasonable
attorneys' fees and court costs, incurred by Landlord in connection therewith, including interest at the
Default Rate, shall constitute Additional Rent and shall be paid by Tenant to Landlord on demand.
ARTICLE 16. SIGNAGE
Tenant shall at its own expense erect an exterior sign and/or window sign (the "Exterior Storefront Signs")
in such locations and such size designated by Landlord, which Exterior Storefront Signs shail: (i) conform
to the general material, size and appearance of other tenants' signs at the Shopping Center, (ii) be in
conformity with any guidelines or sign criteria adopted by Landlord with respect to the Shopping Center,
including, without limitation, the sign criteria set forth in Exhibit "C-1" attached hereto and made a part
hereof, as the same may be modified from time to time, (iii) be in accordance with all applicable laws, (iv)
be installed by a contractor or other party which meets with Landlord's prior reasonable approval, and (v)
be otherwise subject to Landlord's prior reasonable written approval.

signage on the exterior of the Premises on or before the Commencement Date, Except as otherwise set
forth in this Paragraph, Landlord will not be liable to Tenant or any Tenant's contractor for city requirements
pertaining to signage but shall use all commercially reasonable efforts, at no cost to Landlord, to assist
Tenant with satisfying any such requirements. If at any time after the first five years of the Term, Landlord
determines to replace the sign above the exterior of the Premises in connection with a generel renovation
of the Shopping Center or otherwise, then Tenant shall pay (or reimburse to Landlord, as the case may be)
the cost of replacing such sign.
Notwithstanding the foregoing, in the event Landlord modifies its sign criteria during the first five (5) Lease
Years of the initial Term and requires Tenant to replace its sign pursuant to this Article 16 (provided such
change would not otherwise be required by Laws), Landlord shall replace Tenant's approved signage at
Landlord's sole cost and expense. Notwithstanding anything to the contrary herein, after the Delivery Date,
Tenant shall be permitted, subject to all applicable codes, laws, regulations and other governmental
requirements, and further subject to Landlord's reasonable prior written approval with respect to the design,
location, content, and method of installation, to furnish and. install, at Tenant's sole cost and expense, one
(1) professionally made temporary window graphic, announcing Tenant's "Grand Opening" and/or that
Tenant is "Coming Soon", on the storefront of the Premises, provided that the period during which Tenant's
temporary banner is installed on the storefront of the Premises shall not exceed the maximum period
permitted by applicable codes, laws and regulations.
Landlord, by execution of this Lease, approves Tenant's prototypical and conceptual signage as shown on
Exhibit C-3 attached hereto ("Tenant's Conceptual Signage"), provided same complies with all applicable
laws, codes and regulations. Provided Tenant's final sign plans are consistent with Tenant's Conceptual
Signage, Landlord shall not be permitted to withhold consent to Tenant's sign plans and Tenant shall be
permitted to install its signage in accordance therewith, subject to applicable laws, codes and regulations.

assignment or sublease effectuating the Transfer; (e) if the Trensferee is an individual, a true and correct
copy of the Transferee's driver's license; (r) any information reasonably requested by Landlord with respect
to the Transfer or the Transferee; and (g) a fee of Two Thousand Five Hundred Doilars ($2,500.00) to
compensate Landlord for legal fees, costs of administration,
connection with the review and processing of such documentation (whether or not such Transfer is
consummated) ("Transfer Fee").

lease contracts which Landlord is actively negotiating with prospective tenants and of which Landlord can
provide reasonable documentary evidence), or (B) the tenant mix in the Shopping Center (including without
imitation those contained in letters of intent or lease contracts which Landlord is actively negotiating with
prospective tenants and of which Landlord can provide reasonable documentary evidence); (iii) the tangible
net worth (exclusive of goodwill, primary residence and retirement accounts, as applicable) and financial
capabilities of such Transferee is less than $5,000,000.00; (iv) the proposed Transfer involves a change of
use of the Premises from that specified herein or would otherwise breach any covenant of Landlord
respecting radius, location, use or exclusivity in any other lease in the Shopping Center or any Shopping
Center agreements; or (v) the proposed Transfer involves an increased risk of the presence, use, release
or discharge of Hazardous Substances. In addition, Landlord's consent will not be deemed unreasonably
withheld if consenting to a Transfer would result in more than two (2) occupants in the Premises.
Notwithstanding any contrary provision of this Lease, if Tenant or any proposed Transferee claims that
Landlord has unreasonably withheld its consent to a proposed Transfer, provided Landlord has given
Tenant a complete response with respect to its rejection of the proposed Transferee, Tenant's and such

This endorsement modifies insurance provided under the:
Commercial General Liability Coverage Part
A. Section II - Who Is An Insured is amended to include as an additional insured any person or organization whom you
re required to add as an additional insured on this policy under a written contract or written agreement. Such perso
or organization is an additional insured only with respect to liability for "bodily injury", "property damage" or "persona
and advertising injury" caused, in whole or in part, by:
1. Your acts or omissions; or
2. The acts or omissions of those acting on your behalf
the pertormance of your ongoing operations or "your work as included in the products-completed operation:
which is the subiect of the written contract or written agreemen
However, the insurance afforded to such additional insured:
1. Only applies to the extent permitted by law; and
2. Will not be broader than that which you are required by the written contract or written agreement to provide for
such additional insured
B. With respect to the insurance afforded to these additional insureds, the following additional exclusion applies:
This insurance does not apply to:
"Bodily injury", "property damage" or "personal and advertising injury" arising out of the rendering of, or failure to
render, any professional architectural, engineering or surveying services including:
a. The preparing, approving or failing to prepare or approve maps, shop drawings, opinions, reports, surveys,
field orders, change orders or drawings and specifications; or
b. Supervisory, inspection, architectural or engineering activities.
This exclusion applies even if the claims against any insured allege negligence or other wrongdoing in the supervision,
hiring, employment, training or monitoring of others by that insured, if the "occurrence" which caused the "bodily
injury" or "property damage", or the offense which caused the "personal and advertising injury", involved the
rendering of or the failure to render any professional architectural, engineering or surveying services.

ommercial General Liability Condition
The additional insured must see to it that:
1. We are notified as soon as practicable of an "occurrence" or offense that may result in a claim;
2. We receive written notice of a claim or "suit" as soon as practicable; and
3. A request for defense and indemnity of the claim or "suit" will promptly be brought against any policy issued by
another insurer under which the additional insured may be an insured in any capacity. This provision does not
apply to insurance on which the additional insured is a Named Insured if the written contract or written agreement
requires that this coverage be primary and non-contributory.
D. For the purposes of the coverage provided by this endorsement:
1. The following is added to the Other Insurance Condition of Section IV - Commercial General Liability Conditions:
Primary and Noncontributory insurance
This insurance is primary to and will not seek contribution from any other insurance available to an additional
insured provided that:
a. The additional insured is a Named Insured under such other insurance; and
b. You are required by written contract or written agreement that this insurance be primary and not seek
contribution from any other insurance available to the additional insured.
The following paragraph is added to Paragraph 4b. of the Other Insurance Condition of Section IV - Commercial
General Liability Conditions:
This insurance is excess over:
Any of the other insurance, whether primary, excess, contingent or on any other basis, available to an additional
insured, in which the additional insured on our policy is also covered as an additional insured on another policy
providing coverage for the same "occurrence", offense, claim or "suit". This provision does not apply to any
policy in which the additional insured is a Named Insured on such other policy and where our policy is required
by a written contract or written agreement to provide coverage to the additional insured on a primary and non-
contributory basis.
E. This endorsement does not apply to an additional insured which has been added to this policy by an endorsement
showing the additional insured in a Schedule of additional insureds, and which endorsement applies specifically to
that identified additional insured.
F. With respect to the insurance afforded to the additional insureds under this endorsement, the following is added to
Section Ill - Limits Of Insurance:
The most we will pay on behalf of the additional insured is the amount of insurance:
1. Required by the written contract or written agreement referenced in Paragraph A. of this endorsement; or
2. Available under the applicable Limits of Insurance shown in the Declarations,
whichever is less.
This endorsement shall not increase the applicable Limits of Insurance shown in the Declarations.
All other terms and conditions of this policy remain unchanged.
