• A projecting sign shall be constructed wholly of incombustible materials.
• All signs must meet requirements of Zoning Ordinances and Building Code.
• Note: Section 12.12.220 provides in part "every owner who maintains a... structure in or over a street. ...shall do so only or
the condition that such maintenance shall be considered as an agreement on his part to keep the same and the covers thereof in
good repair and condition, at all times during his ownership, and to indemnify and save harmless the City against any and all
damages, cost or expenses which it may sustain, or be required to pay by reason of such. structure."

CONSULTANT SERVICES AGREEMENT
This Consultant Services Agreement (this "Agreement") is entered into as of
September 23, 2021, by and between ARE-MA Region No. 59, LLC, a Delaware limited
liability company ("ARE"), and Design Communications, Ltd. a Massachusetts
corporation ("Consultant"), with reference to the following Recitals:
RECITALS:
ARE is the owner of that certain real property located at One Kendall Square-
South, Watertown, Massachusetts. Such real property is sometimes hereinafter referred
to as the "Property".
A.
Consultant has experience in signage services and the assessment and
evaluation of improved and unimproved properties.
ARE wishes to retain Consultant to provide technical services to ARE and
ARE and Consultant desire to set forth their understanding regarding such technical
services.
ARE and the Associated Entities (hereinafter defined) will be the

beneficiaries of the services provided by Consultant.
NOW THEREFORE, in consideration of the foregoing Recitals, the mutual
promises and covenants set forth herein, and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as
follows.
1.
Scope of Work.
Consultant's proposal dated September 23, 2021, attached hereto as Exhibit A,
contains the scope of the work to be performed by Consultant under this
Agreement (the "Work").
Should any discrepancies arise between this
Agreement and Exhibit A, the provisions of this Agreement shall prevail.
Consultant warrants that: (i) it is competent to perform the Work; (i) it has
experience in performing work similar to the Work; and ii) the Work shall be
carried out in a manner equal to or exceeding industry standards and good
commercial practices of reputable firms for performing similar work, without
material defects, errors or omissions. Consultant shall perform the Work in full
compliance with applicable federal, state and local laws and regulations and
governmental guidelines.
Inspection and Testing.

All of Consultant's tests are to be conducted using methods required by
governmental entities having jurisdiction over the Property. If no particular
testing methods are required by any such entities, then tests required by such
entities, or by good industrial hygiene practice under the circumstances, will be
performed by Consultant in accordance with methods generally accepted in the
consulting industry for the Work being rendered.

Consultant Personnel.
The Work performed by Consultant pursuant to this Agreement shall be
performed under the direction and management of Numan Buruin or such other
person selected by Consultant, subject to written acceptance by ARE.
4.
Consultant shall commence the Work on or before September 23, 2021 (the
"Commencement Date") and shall complete its Work on or before the date
agreed to between Consultant and ARE. The term of this Agreement shall
commence on the date hereof and shall continue until terminated by ARE. ARE
shall have the right to terminate this Agreement, at any time, in its sole discretion
and with or without cause, by written notice to Consultant. Consultant shall stop
work immediately upon receipt of a notice of termination and promptly deliver to
ARE the results of Consultant's Work to date of termination. ARE will reimburse
Consultant for Work performed prior to termination in accordance with Section 5
hereof. This right to terminate shall be in addition to, and not in lieu of, any other
rights and remedies ARE may have at law or in equity.
Compensation.
a.
Generally. Compensation for Consultant's performance of the Work
described in Section 1 above shall be an amount not to exceed $90,769,
which amount shall include any and all costs and expenses associated
with the work to be performed hereunder. Consultant shall not receive
any amount over that set forth above unless otherwise agreed to in
writing by ARE and in the form of Amendment to Agreement between
ARE and Consultant ("Amendment") attached hereto as Exhibit B.
Consultant shall bill ARE monthly. The bill shall be sent to ARE at 400
Technology Square, Suite 101, Cambridge, MA 02139, Attention: Cathy
Buckingham, Re: OKS South/Façade Work or as may be so directed by
ARE in writing, and shall itemize and describe the services performed,
identify personnel performing the services and the time expended.
Payment shall be due within thirty (30) days after ARE's receipt of

document: (a) all activities undertaken by or on behalf of Consultant in the
course of pertorming the Work hereunder and other services performed
by Consultant, its agents and subcontractors; and (b) all charges,

subcontractors in performing the Work hereunder. Consultant will make
such books and records available to ARE or ARE's authorized
representatives upon request during normal business hours.
Errors. Notwithstanding anything to the contrary herein contained, no
compensation will be paid to or claimed by Consultant for services
required to correct deficiencies attributable to negligence or willful
misconduct of Consultant.

Reporting. Consultant shall provide telephonic advice to ARE of
significant findings as the Work progresses and as appropriate.
Further Work. If, during the course of Consultant's investigations,
Consultant discovers any fact or condition which would lead Consultant to
recommend further inspection, testing or analyses, Consultant shall
contact Cathy Buckingham of ARE ("ARE's Representative") to discuss
Consultant's findings and recommendations and give an estimate of the
cost of such further work. ARE may authorize Consultant to perform such
additional work by an Amendment to Consultant specifying the work to be
performed and the maximum additional fee to be added to the amount
authorized in Section 5 above.
Insurance.
Consultant is an independent contractor and not an agent, servant or
representative of ARE, its affiliates, subsidiaries or related entities, including

Consultant represents and warrants that it shall maintain at its sole cost and
expense the following insurance as approved by ARE:

and their respective managers, officers, directors, partners, agents, employees,
trustees, beneficiaries, portfolio and investment managers, and equitable or legal
lien holders harmless from and against (a) any and all claims, liability, loss,
damage, costs or expenses, including reasonable attorneys' fees, awards, fines
or judgments ("Claims") arising by reason of the death or bodily injury to
persons, injury to property or other loss, damage or expense, including any of the
same resulting from Consultant's alleged or actual negligent act or omission,
regardless of whether such act or omission is active or passive; (b) any and all
Claims resulting from any breach of this Agreement by Consultant or a breach of
any agreement relating to the work done by any subcontractor, or (c) all liens, or
claims of rights to enforce liens, arising out of any work to be performed or
services or materials to be furnished under this Agreement or (d) delay damage
under the Work Letters and lost rent and losses or claims arising or accruing
under any lease or other agreement with tenants or prospective tenants.

Acceptance of Risk.
Consultant recognizes that, in performing work pursuant to this Agreement, its
employees and subcontractors may be working with, or be exposed to,
substances or conditions which are toxic or otherwise hazardous. Consultant
acknowledges that ARE has engaged Consultant on the basis of Consultant's
representations concerning its broad experience and special expertise in dealing
with such substances
and conditions and that ARE is relying on Consultant to
identify and evaluate the potential risks involved in such work and to take all
appropriate precautions to avoid such risks to its employees, subcontractors,

Non-Disclosure Agreement, dated September 23, 2021, as executed by and
between Consultant and Alexandria Real Estate Equities, Inc., an affiliate of

ARE, and such terms and conditions are incorporated herein mutatis mutandis by
this reference as though fully set forth herein.
Ownership of Documents.

10.1 All data prepared by Consultant for ARE under this Agreement including,
sketches,
plans,
without limitation, writings, drawings, maps, models,
specifications and reports developed during the course of this Agreement and on
behalf of ARE, shall belong to ARE and shall, at the request of ARE, be assigned
to it. Notwithstanding the preceding sentence, data and information (i) which was
in Consultant's possession prior to the commencement of services for specific
jobs for ARE, (i) which was, or is, in the public domain, or (iii) which was
furnished to Consultant by anyone other than ARE, the Associated Entities or
their respective advisors, agents or representatives, shall be exempt from this
Section. Consultant may retain copies of such data prepared for reference in
connection with the services under this Agreement.
10.2 Without ARE's express prior written consent in each instance, Consultant
shall not, nor shall it permit any subcontractor or other third party to: (i) take any
photographs of any of Consultant's work for ARE; or (i) display or distribute any
photographs or other representations of Consultant's work for ARE to any third
party or any employee, contractor or consultant for any purpose (including, but
not limited to, marketing, sales, and promotional materials or other collateral;
design, training or other presentations; display boards and digital displays; social
media postings; awards submissions; and any business development activities).
If ARE grants consent for the distribution or display of any photographs or
representations of such work, then Consultant will display on such photograph or
representation a credit for ARE as requested by ARE.
Attorneys' Fees.
11.
In the event any suit, action, or proceeding arising from or based upon this
Agreement will be instituted between Consultant and ARE, the prevailing party
shall be entitled to recover from the other party reasonable attorneys' fees, costs
and expenses incurred in connection with the prosecution or defense of such
action.
For purposes of this Agreement, the term "attorneys' fees" or
"attorneys' fees and costs" shall mean the fees and expenses of counsel to the
parties hereto, which may include printing, Photostatting, duplicating and other
expenses, air freight charges, and fees billed for law clerks, paralegals and other
persons not admitted to the bar but performing services under the supervision of
an attorney, and the costs and fees incurred in connection with the enforcement
or collection of any judgment obtained in any such proceeding. The provisions of
this Section 11 shall survive the entry of any judgment, and shall not merge, or
be deemed to have merged, into any judgment.
12.
Governing Law; Severance.
This Agreement shall be governed by and construed in accordance with the laws
of the Commonwealth of Massachusetts. If any provision hereof is determined to
be illegal or unenforceable for any reason, the remaining provisions hereof will
not be affected thereby.

13.
Entire Agreement; Modification; Waiver.
This Agreement, the work authorizations, and any Amendments to be issued by
ARE hereunder constitute the entire agreement of the parties and supersede any
and all prior or contemporaneous written or oral negotiations, correspondence,
understandings and agreements between the parties respecting the subject
matter hereof. No supplement, modification or amendment to this Agreement,
other than work authorizations or any Amendment issued by ARE hereunder,
shall be binding unless executed in writing by both parties. No waiver of any of
the provisions of this Agreement shall be deemed, or shall constitute, a waiver of
any other provisions, whether or not similar, nor shall any waiver constitute a
continuing waiver. No waiver shall be binding unless executed in writing by the
party making the waiver.
Assignment.
14.
This Agreement shall be binding upon and shall inure to the benetit of the parties
and their respective successors and assigns. Consultant shall not be entitled to
assign any of its rights or obligations hereunder without the prior written consent
of ARE.
Notices.
15.
Except as may be specifically provided herein to the contrary, all notices,
consents, requests, reports, demands or other communications hereunder
(collectively "Notices") shall be in writing and may be given personally, by
reputable overnight delivery service or by facsimile transmission (with in the case
of a facsimile transmission, confirmation by reputable overnight delivery service).

The addresses of the parties may be changed by like written notice effective
upon receipt. Notices given by facsimile transmission shall be deemed to be
received when confirmed; and all other Notices shall have been deemed to have
been given on the date of delivery or refusal.
Counterparts/Electronic Signatures.
16.
This Agreement may be executed in two (2) or more counterparts, each of which
shall be deemed an original, but all of which together shall constitute one and the
same instrument. Counterparts may be delivered via facsimile, electronic mail
(including pdf or any electronic signature process complying with the U.S. federal
ESIGN Act of 2000) or other transmission method and any counterpart so
delivered shall be deemed to have been duly and validly delivered and be valid
and effective for all purposes. Electronic signatures shall be deemed original
signatures for purposes of this Agreement and all matters related thereto, with
such electronic signatures having the same legal effect as original signatures.
Exculpation.
17.
The Consultant acknowledges that ARE is a limited liability company created
under the laws of Delaware and that the Consultant agrees to look solely to the
assets of such limited liability company for the enforcement of any claims against
ARE, and none of the members of such limited liability company nor any of their
respective officers, directors, employees, partners, affiliates or shareholders
assume any personal liability for any of the obligations entered into on behalf of
ARE.
18.
OFAC.
Consultant, and all beneficial owners and agents of Consultant, are currently (a)
in compliance with and shall at all times during the term of this Agreement remain
in compliance with the regulations of the Office of Foreign Assets Control
"OFAC) of the U.S. Department of treasury and any statute
regulation relating thereto (collectively, the "OFAC Rules"), (b) not listed on, and
shall not during the term of this Agreement be listed on, the Specially Designated
Nationals and Blocked Persons List, Foreign Sanctions Evaders List, or the
Sectoral Sanctions Identifications List, which are all maintained by OFAC and/or
on any other similar list maintained by OFAC or other governmental authority
pursuant to any authorizing statute, executive order, or regulation, and (c) not a
person or entity with whom a U.S. person is prohibited from conducting business
under the OFAC Rules. To the fullest extent permitted by law, Consultant agrees
to defend, indemnify and hold harmless ARE, Alexandria Real Estate Equities,
Inc. or its permitted assigns from and against any and all Claims arising from or
related to any breach of the foregoing certifications, representations, warranties
and covenants.

Reservation of rights.
19.
Failure by either party to insist upon strict performance of any of the provisions
contained in this Agreement shall in no way constitute a waiver of its rights as set
forth in this Agreement, at law or in equity, or a waiver of any other provisions or
subsequent default by the other party in the performance of or compliance with
any of the terms and conditions set forth in this Agreement. No forbearance,
indulgence or relaxation or inaction by a party at any time to require performance
of any of the provisions of this Agreement shall in any way affect, diminish or
prejudice the right of such party to require performance of that provision.
Partial invalidity.
20.
If any provision of this Agreement is held to be invalid or unenforceable to any
extent, the remainder of this Agreement shall not be affected and each provision
of this Agreement shall be valid and enforceable to the fullest extent permitted by
applicable law. Any invalid or unenforceable provision of this Agreement shall be
replaced with a provision that is valid and enforceable and most nearly reflects
the original intent of the unenforceable provision.
Non-exclusivity.
21.
Nothing in this Agreement shall be construed as creating any obligations of
exclusivity on ARE. ARE shall, at all times, be entitled to retain other third party
consultants for the purpose of procuring services similar or identical to the Work.
Child Labor.
22.
Consultant will not permit: (i) the use of child (under the age of 15), forced or
compulsory labor in any of Consultant's operations; (i) the engagement of any
worker in unreasonably hazardous work; and (iii) the physical punishment, abuse
or involuntary servitude of any worker. If Consultant fails to comply with this
Section 22, ARE shall have the right to terminate this Agreement immediately
upon written notice to Consultant.
Infectious Diseases.
23.
This Section 23 shall apply if Consultant its agents or subcontractors shall enter
onto the Property or into any building located at the Property ("ARE building") at
a time when any of the following criteria are met: (a) an infectious disease is
rapidly increasing in incidence or geographic range in the United States, is not
preventable by vaccine, and carries with it health risks (and likelihood of suffering
such health risks) to the general public worse than the common seasonal flu, or
(b) a pandemic or epidemic exists, or (c) any federal or applicable state or local
authority has declared a health emergency on account of an infectious disease.
As used in this Section 23, any disease which causes this Section 23 to be
applicable is referred to herein as an "Applicable Infectious Disease." For the
avoidance of doubt, COVID-19 is an Applicable Infectious Disease.
Prior to each entry by any employee of
Pre-Screening Measures.

Consultant, its agents or subcontractors, onto the Property or into any
ARE building, Consultant shall pre-screen such employee (or ensure and
document that each such employee self-screens) for the Applicable

Infectious Disease, using all criteria recommended by the Centers for
Disease Control and Prevention ("CDC") and federal, state and local
governmental authorities. Consultant shall not permit any such employee
who does not pass the pre-screening to enter onto the Property or into
any ARE building
Occupational Safety and Health
recommendations of the CDC,
Administration ("OSHA") and all federal, state and local governmental
authorities.
In the event that Consultant learns that, notwithstanding Consultant's pre-
screening, an employee of Consultant, its agents or subcontractors who
did not meet the screening criteria has entered the Property or an ARE
building (or within the incubation period after such entry such employee
employee and approximate date/time of access, but Consultant shall not
orovide ARE with any personally identifying information or health
information of the employee.
By way of example, the pre-screening for COVID-19 shall include both a
temperature check of the employee and having the employee actively
confirm the information listed below. Consultant shall not permit any of its
employees or employees of its agents or subcontractors to enter any ARE
building unless, no earlier than the morning of such entry:
The employee had a temperature of less than 100.4°F or any
i.
more stringent applicable temperature threshold used by state or
local government in the jurisdiction where the Property is located;
ii.
The employee answered "no" to each of the following questions:*
1. Have you returned in the last 14 days from travel that included
another country, a cruise ship or river cruise voyage or other
locale that requires a quarantine period upon return to the
jurisdiction where the Property is located?
2. Do you have, or have you had within the past 10 days, any
symptoms of COVID-19 (e.g., tever [as noted above], cough,
shortness of breath, difficulty breathing, fatigue, sore throat,
muscle or body aches, headache, chills, new loss of taste or
smell, congestion or runny nose, nausea or vomiting, or
diarrhea? Note: Consultant must review the CDC website
regularly for updates to symptoms and ask this question based
on then current CDC guidance regarding COVID-19
symptoms.

Disease (and Consultant shall continually monitor industry best
practices); and
ii.
All guidance and requirements of any applicable state or local
government or governmental agency relating to the Applicable
Infectious Disease (and Consultant shall continually monitor such
guidance and requirements); and
All guidance and requirements of OSHA related to the Applicable
ili.
Infectious Disease (and Consultant shall continually monitor the
OSHA's website for updates thereto); and
All guidance issued by the CDC related to the Applicable
Infectious Disease and Consultant shall continually monitor CDC's

Face Coverings. Without limiting the generality of the foregoing
obligations, unless notified otherwise in writing from ARE, at all times this
Section 23 is applicable, Consultant shall cause all employees of
Consultant, its agents and subcontractors to wear face coverings at all
times when on any Property or in any ARE building, unless industry best
practices, guidance or requirements of government or governmental
agency, guidance or requirements of OSHA, guidance issued by the
CDC, or policies or procedures adopted by ARE require more highly
protective personal protective equipment, in which case Consultant shall
cause all of its employees and all employees of its agents and
subcontractors to wear such personal protective equipment.
Relationship of Parties. For the avoidance of doubt, Consultant is and
remains in all respects solely responsible for its employees and the
employees of is agents and subcontractors, and the direction and
supervision thereof, including, without limitation, ensuring their
compliance with all pre-screening requirements and other infectious
disease mitigation measures Consultant undertakes (pursuant to
contractual or statutory obligations, or otherwise) to comply with industry
best practices, the guidance and requirements of OSHA, CDC, and
applicable government authorities, and ARE building policies
procedures.
The relationship of ARE and Consultant is and remains
solely that of a company contracting with a third-party Consultant, and the
terms of this Section 23 do not create a joint employer relationship with
respect to Consultant's employees (or the employees of Consultant's
agents or subcontractors), or any other partnership or joint venture
relationship.

This is the revised proposal ARE One Kendall Square-Exterior Signs Adds, based on the design intent
documents, prepared by NBBJ, and includes the additional Sign Type N2 per Cathy's email /comments
dated 9/14/2021.
Pricing includes project coordination, engineering, shop drawings, graphic layouts, finish samples, materials,
fabrication, crating, shipping, and installation during normal business hours.
Pricing is based on providing all of the work noted in the attached pricing matrix as one project with a single
procurement and mobilization. We have assumed being able to utilize existing equipment on site to access
and work on the clock. Costs associated with police detail, permits, or other fees are not included in
the pricing. We have assumed that all artwork will be provided in a format ready for production.
In order to begin work, a signed purchase order or contract accompanied by a deposit of forty percent (40%)
is required, with subsequent monthly billings to follow based on percentage of completion.

Massachusetts General Laws chapter 152 requires all employers to provide workers' compensation for their employees.
Pursuant to this statute, an employee is defined as "...every person in the service of another under any contract of hire,
express or implied, oral or written."
An employer is defined as "an individual, partnership, association, corporation or other legal entity, or any two or more
of the foregoing engaged in a joint enterprise, and including the legal representatives of a deceased employer, or the
receiver or trustee of an individual, partnership, association or other legal entity, employing employees. However, the
owner of a dwelling house having not more than three apartments and who resides therein, or the occupant of the
dwelling house of another who employs persons to do maintenance, construction or repair work on such dwelling house
or on the grounds or building appurtenant thereto shall not because of such employment be deemed to be an employer."
MGL chapter 152, §25C(6) also states that "every state or local licensing agency shall withhold the issuance or
renewal of a license or permit to operate a business or to construct buildings in the commonwealth for any
applicant who has not produced acceptable evidence of compliance with the insurance coverage required."
Additionally, MGL chapter 152, §25C(7) states "Neither the commonwealth nor any of its political subdivisions shall
enter into any contract for the performance of public work until acceptable evidence of compliance with the insurance
requirements of this chapter have been presented to the contracting authority"

Please fill out the workers' compensation affidavit completely, by checking the boxes that apply to your situation and, if
necessary, supply your insurance company's name, address and phone number along with a certificate of insurance.
Limited Liability Companies (LLC) or Limited Liability Partnerships (LLP) with no employees other than the members
or partners, are not required to carry workers' compensation insurance. If an LLC or LLP does have employees, a policy
is required. Be advised that this affidavit may be submitted to the Department of Industrial Accidents for confirmation of
insurance coverage. Also be sure to sign and date the affidavit. The affidavit should be returned to the city or town
that the application for the permit or license is being requested, not the Department of Industrial Accidents. Should you
have any questions regarding the law or if you are required to obtain a workers' compensation policy, please call the
Department at the number listed below. Self-insured companies should enter their self-insurance license number on the
appropriate line.

of the affidavit for you to fill out in the event the Office of Investigations has to contact you regarding the applicant.
Please be sure to fill in the permit/license number which will be used as a reference number. In addition, an applicant that
must submit multiple permit/license applications in any given year, need only submit one affidavit indicating current
policy information (if necessary). A copy of the affidavit that has been officially stamped or marked by the city or town
may be provided to the applicant as proof that a valid affidavit is on file for future permits or licenses. A new affidavit
must be filled out each year. Where a home owner or citizen is obtaining a license or permit not related to any business
or commercial venture (i.e. a dog license or permit to burn leaves etc.) said person is NOT required to complete this
affidavit.
