• All signs must meet requirements of Zoning Ordinances and Building Code.
• Note: Section 12.12.220 provides in part "every owner who maintains a... structure in or over a street. ...shall do so only on the
condition that such maintenance shall be considered as an agreement on his part to keep the same and the covers thereof in good
repair and condition, at all times during his ownership, and to indemnify and save harmless the City against any and all damages,
cost or expenses which it may sustain, or be required to pay by reason of such. structure."

PROCEDURE FOR OBTAINING CITY COUNCIL PERMISSION FOR PERMANENT SIGNS AND
AWNINGS THAT OBSTRUCT THE PUBLIC WAY MORE THAN SIX INCHES.
1. Application is available at City Clerk's Office, Room 103 City Hall, 795 Mass. Ave., [phone removed]
(City Clerk's staff will check bond status)
2. Complete application. Application must be signed by business owner and property owner. You must
measure and state the distance by which the sign or structure will project over the public way. This
application is signed under the pains and penalties of perjury. If you have difficulty ascertaining the
distance, you may wish to use a surveyor.
3. Present application to Community Development Department (CDD) for Certification of Zoning
Compliance or determination that the proposal does not constitute a sign. 344 Broadway, 3rd floor. [phone removed]. Be sure that the City Clerk's Office gets the City Clerk's copy (not ISD copy)
4. Present to Department of Public Works (DW) for review and sign off. 147 Hampshire St. [phone removed]
5. Present to Inspectional Services Department (ISD), 831 Mass. Ave. [phone removed], for Zoning and
Building Code sign off:

• Notification of abutters (forms are provided by City Clerk's Office). Abutter notification is
not needed if the applicant seeks only to change the wording on a pre-existing sign
structure.

• Cambridge Historical Commission, 831 Mass. Ave. for Certificate of Appropriateness if
sign is in Harvard Square
6. After completing steps (1) - (5), file the application with the City Clerk. The Clerk will place the
application on the agenda of a City Council meeting for its consideration.
• During the months of September through June, the City Council meets every Monday at 5:30 p.m.
except for Monday holidays. During July and August, the City Council holds one summer meeting
Applications must be received at the City Clerk's office on the Thursday prior to the Monday meeting.
• After the City Council has approved the petition, the City Clerk will send the petitioner an unexecuted
bond form.
7. Petitioner must have the bond form executed by a Surety Company and then return it to this office.
8. When the executed bond is returned to the City Clerk's Office, the City Clerk will give the petitioner a
copy of the City Council order of approval with notation that bond is ok. When City Council approval is
not required, the City Clerk will sign off the ISD form that an executed bond is on file. ISD will issue a
building permit to the petitioner, so long as all building permit requirements have been met. The
petitioner can pick up the sidewalk obstruction permit from DPW.

PAYMENT: SIGN PRO proposes to furnish labor and materials to complete the above specifications for the total sum indicated. Valid for
Notes
15 days. A 50% deposit is due at signing furnish with labor balance and due materials upon to completion. Power required within 5' of
sign locations for final connection by SIGN PRO.
PAYMENT SCHEDULE: 50% deposit required with signed contract and to start production. Balance of contract due upon completion
of work. A credit card processing fee may apply for a transaction over $10,000.
CANCELLATION: This proposal is made for specially constructed equipment when accepted is not subject to cancellations.
PERMITS: The buyer agrees to secure all necessary governmental permits that my include and/or limited to: City, Right of Way,
Encroachment, Sidewalk, Parking Meters, Traffic Control - Arrow Boards, Safety Barrels, Police Officer and or Airport Authority and/or all
necessary permits from the building owner whose permission is required for the installation of this display and he assumes all liability with
regard to same and liability, public and otherwise, for damages caused by the display or by reason of it being on or attached to the
premises. This authority can include 3rd party subcontractors. Buyer agrees to secure all necessary permission for use of all registered
trademarks or copyrights used on the display.
ELECTRICAL AGREEMENT: All necessary electrical wiring, outlets, and connections to the display from the building meter and/or

fuse panel will be properly fused and installed at the expense of the Buyer.

WALL GRAPHIC EXCLUSION: Seller will warrant vinyl material to be free of manufacturing defects per manufacturer warranty.
However, Seller cannot definitively determine compatibility of vinyl products when applied to painted wall surfaces. Seller is not liable for
any paint or wall damage during application or removal of vinyl products.
INSTALLATION PRICES QUOTED ARE SUBJECT TO REVISION WHERE EXCESS ROCK OR OTHER UNFORSEEABLE

FOUNDATION OR WALL CONDITIONS ARE ENCOUNTRERED.
7.
FIELD SURVEY: This Proposal is subject to the completion of a field survey. After survey, if any price changes or design
modifications are needed, notice will be provided in writing for approval prior to any additional work being performed.
8.
GUARANTEE: Seller warrants the display against defective workmanship in construction and assembly for one year from date of
shipment or installation, if installation is made by Seller. Seller shall not be liable for any damages or losses other than the replacement of
such defective work or material. Whenever there is any circumstance on which a claim might be based, Seller must be informed
immediately, or the provisions of this warranty are void.
9.
DELIVERY: Seller will not be responsible for delays in shipments caused by delays created by supplies or transportation services or
by labor disputes or due to any other circumstances beyond its control. the provisions of this warranty are void
a.
Jobs completed on schedule, but not able to be shipped and/or installed due to delays caused by the customer will be invoiced
(except shipping and
installation) on schedule and demurrage charges will be incurred.
b.
Sign Pro, Inc. will not be liable for any delays in job completion caused by the customer, its subcontractors, acts of God, or
inaccessibility to the job.
10. TITLE: Title to all materials and property covered by this contract shall remain in Seller's name and shall not be deemed to constitute
a part of the realty in which it may be attached until the purchase price is paid in full. Seller is given an express security interest in said
material and property both erected and unerected notwithstanding the way such personal property shall be annexed or attached to the
realty. In the event of default by BUYER, including, but not limited to, payment of any amounts due and payable, Seller may at once (and
without process of law) take possession or and remove as and when it sees fit and wherever found, all materials used or intended for use
in the construction of said equipment and all property called for in this contract without being deemed guilty of trespass.
11. INSURANCE: The Buyer shall carry fire, tornado, earthquake, and all necessary insurance. We are not reliable for Acts of God. The
Seller carries Workman's Compensation insurance on ALL employees.
12. INDEMNIFICATION OF SELLER. Buyer shall indemnify, protect and hold harmless the Seller (Sign Pro Inc); its agents, servants,
successors and assigns from and against all losses, damages, injuries, claims, demands and expenses, including legal expenses, of
whatever nature, arising out of the use, condition or operation of any item of the signage, regardless of where, how and by whom
installed. Buyer shall assume the settling of, and the defense of any lawsuits or other legal proceedings brought to enforce all such
losses, damages, injuries, claims, demands and expenses and shall pay all judgments entered in the suit for other legal proceedings. The
indemnification and assumptions of liability and obligation herein provided shall continue in full force and effect notwithstanding the
termination of this agreement, whether by expiration of time, by operation of law or otherwise

SERVICE CHARGE: If the balance of the agreement is not paid within 30 days of completion the above-mentioned warranty will be
void. Service charge will be computed on Past Due balances at 1.75% PER MONTH. On all balances that go past 55 days a Mechanical
Lien will be filed until payment is received.
14. AGREEMENT: When this contract is being signed by a duly authorized person of each party, all provisions contained herein become
integral parts of this contract and there is no other agreement or understanding or any nature concerning same unless such agreement or
understanding, if any, is specifically incorporated herein.
15.
ENFORCEMENT: Should Buyer fail to perform any terms of this agreement, and should Seller be obligated to employ an attorney to
enforce performance or collection thereof, reasonable attorney fees and costs of collection shall be added to the balance due thereon.
16. TRADEMARK LICENSE: Customer grants Licensor a limited, non-exclusive, worldwide right and license to use the names, logos,
and trademarks of Customer to publicize the existence of the business relationship established by this Agreement.
17. ENGINEERING AGREEMENT It may be deemed necessary to have Buyer's display design reviewed and sealed by a licensed
engineer. Engineering fees are not included in the contract price and will be additional at the expense of the Buyer. Buyer will be given
advance notice in writing should engineering become necessary and any additional fees may apply.
