FIRST AMENDMENT TO EMPLOYMENT AGREEMENT

BETWEEN THE CITY OF CAMBRIDGE AND RICHARD C. ROSSI Now come the City of Cambridge, acting by and through its City Council (hereafter "the City"), and Richard C. Rossi, Cambridge City Manager (hereafter "Mr. Rossi"), and make this First Amendment to Employment Agreement Between the City of Cambridge and Richard C. Rossi. WHEREAS, the City and Mr. Rossi entered into the Employment Agreement Between the City of Cambridge and Richard C. Rossi dated February 25, 2013 by which the City employed Mr. Rossi as the Cambridge City Manager effective from July 1, 2013 to June 30, 2016 (hereafter "the Employment Agreement); WHEREAS, the City and Mr. Rossi wish to extend Mr. Rossi's employment as the Cambridge City Manager for three (3) months beyond June 30, 2016 on the same terms stated in the Employment Agreement, except as otherwise stated herein; NOW THEREFORE, the City and Mr. Rossi hereby agree as follows: 1. Pursuant to section 7.4 of the Employment Agreement and governing law, the City and Mr. Rossi expressly agree in writing to extend the employment relationship between the City and Mr. Rossi subject to the City Charter. 2. The Employment Agreement's term, as stated in section 3.2 of the Employment Agreement, shall be extended from June 30, 2016 for a period of three (3) months, through and including September 30, 2016. The first sentence of section 5.1 of the Employment Agreement authorizing Mr. Rossi to give four (4) months written notice to the City Council in order to terminate the Employment Agreement is deleted in its entirety. 2 4. All provisions of the Employment Agreement not amended hereby shall continue in full force and effect to September 30, 2016. Those provisions of the Employment Agreement that expressly survive the termination of the employment relationship are not intended to be altered by this First Amendment.
